Board Member
Roles and Responsibilities

  • Serves as the chief executive officer and official spokesperson; presides over all Board meetings and sets the agenda; ensures Board decisions are carried out; and works with other officers to ensure organizational health and legal compliance. Casts tie breaking vote when there are an even number of voting board members.

  • Maintains accurate and official records of all Board proceedings, including recording and disseminating meeting minutes; oversees the preservation of official documents such as the By-Laws and policies; and ensures proper notice is given for all meetings.

  • Serves as fiduciary for the financial affairs of the organization; reviews and presents monthly and annual financial reports to the Board; assists in budget preparation; and ensures compliance with fiscal policies and legal reporting requirements.

  • Oversees the internal infrastructure and procedural efficiency of the Board and the organization; manages resource allocation, including physical and non-financial assets; and ensures smooth logistics for all major Board activities and events. Manages new Director onboarding. Coordinates training and mentoring programs for board members.

  • Responsible for developing and executing the organization's brand and marketing strategy; manages external messaging, KPIs, budgets, and analytics related to paid media campaigns, and oversees the official social media presence to enhance visibility and engagement with the VP of Public Relations.

  • Focus on internal communication and conflict resolution; external communication with media outlets including crisis PR; and works to maintain high Board morale and engagement. Manages communication across Committees for alignment. Facilitates internal Board health and team dynamics.

  • Monitors compliance with all relevant laws, regulations, and reporting requirements; advises the Board on legal and ethical matters; leads the organization's public policy and advocacy efforts related to its mission. Manages Board member education for relevant policy and prioritizes advocacy efforts. External facing voice of the org for legal/advocacy work.

  • Responsible for the strategic oversight, development, and quality assurance of the organization's core educational programs and curriculum; ensures educational content remains relevant and aligned with the mission. Provides Board member education for relevant work. Liaison to the Education community.  

  • Develops, implements, and manages the annual comprehensive fundraising strategy; cultivates and stewards major donors; coordinates grant applications; and oversees all fundraising events and campaigns. Coordinates with the Treasurer for projections, planning, and strategy.

  • Manages the organization’s technology infrastructure, including the official website (updates, maintenance, and security), email systems, cloud storage, and digital data security protocols for the Board and organization.
